Employer Identification Number: An Employer Identification Number, commonly referred to as an EIN, allows the IRS to identify taxpayers and is used for state and federal tax filings. An EIN is also used to open a business bank account.
Think of an EIN as a Social Security Number for your business.
Operating Agreement
An Operating Agreement is an internal, written document among members (owners) of an LLC. A simple LLC Operating Agreement will identify basic elements such as; Members, Ownership, Duties, and more.
An internal document that is kept with company records to outline basic details, duties, and ownership of the company.
Articles Of Organization
Some states refer to the Articles of Organization as a Certificate of Organization. Once filed and approved by the Secretary of State, the Articles legally create the LLC as a registered business entity within the state and outline the basic details of the company.
Think of the Articles of Organization as a birth certificate for your business.
Resolutions
An LLC Resolution is the written record of a member vote authorizing a specific business action. Formal Resolutions aren’t necessary for small, everyday decisions.
However, they’re useful for granting authority to members to transact significant business actions, such as a change in Members, Ownership, Business Purpose, Taking out a loan on behalf of the LLC, and more.

Misleading Solicitations
Letters are being sent to businesses registered with the Secretary of State directing you to submit payment, respond by a certain date, complete a form, and send money and documentation to a private entity. According to the letters, these companies will provide a “Certificate of Status” a “Certificate of Standing” or a “Labor Law Compliance Poster.”
However, these letters are fraudulent because only the Secretary of State can issue a Certificate of Status/Certificate of Standing/etc. We assure you; those letters are a solicitation and are not required on a state or federal level.
